Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.
On January 11, 2022, Energy Focus, Inc. (the "Company") announced that its Board
of Directors (the "Board") had appointed Stephen Socolof, the Company's Lead
Independent Director, to serve as Interim Chief Executive Officer, replacing
James Tu, the former Chief Executive Officer of the Company, on January 11,
2022.
Mr. Socolof, age 61, has served as a member of the Company's Board since May
2019, and as the Company's Lead Independent Director since September 2019. Mr.
Socolof has been Managing Partner of Tech Council Ventures, an early-stage
venture capital firm, since 2018 and remains a Managing Partner of New Venture
Partners, a venture capital firm that he co-founded in 2001. Previously, Mr.
Socolof worked at Lucent Technologies, Inc. from 1996 to 2001 where he
established Lucent's New Ventures Group. Before joining Lucent, Mr. Socolof
spent eight years with Booz, Allen & Hamilton Inc., where he was a leader of the
firm's innovation consulting practice. Mr. Socolof was previously a director of
Everspin Technologies Inc., which is a semiconductor and electronics technology
company listed on the Nasdaq Global Market. He is also currently a director on
the boards of ChoiceWORX and SunRay Scientific and an observer on the boards of
Adrich, Kintra Fibers, and Vydia Inc.
