Item 1.01. Entry into a Material Definitive Agreement.
5-Year Credit Agreement Amendment
On May 10, 2021, Energy Transfer LP, a Delaware limited partnership (the
"Partnership"), entered into an Extension Agreement (the "Extension") with the
Consenting Lenders party thereto and Wells Fargo Bank, National Association, as
administrative agent (in such capacity, the "Administrative Agent"), pursuant to
which the Consenting Lenders thereto severally agreed to extend the maturity
date of the Partnership's existing 5-Year revolving credit facility provided
pursuant to the Credit Agreement, dated as of December 1, 2017 (as amended by
that certain Amendment No. 1 to Five-Year-Credit Agreement, Joinder and Increase
and Extension Agreement, dated as of October 19, 2018, and as further amended,
restated, amended and restated, supplemented or otherwise modified, the "Credit
Agreement"), by and among the Partnership, the several banks and other financial
institutions party thereto and the Administrative Agent, for a period of one (1)
year from December 1, 2023 to December 1, 2024, with such extension to become
effective on May 10, 2021.

by reference.
