Amendment of the Articles of Incorporation to Change the Principal Place of Business and the Corporate Name

Background/Description of the Disclosure

At its meeting on 10 November 2021, the Board of Directors approved the amendment to the Articles of Incorporation and By-laws to change the principal office of the Corporation from "4th Floor, 6750 Office Tower, Ayala Avenue, Makati City 1226, Philippines" to "35th Floor Ayala Triangle Gardens Tower 2, Paseo De Roxas Cor. Makati Avenue, Makati City 1226, Philippines." During the meeting held on 9 March 2022, the Board of Directors approved the amendment to the Articles of Incorporation and By-laws to change the corporate name of the Corporation from "ACE Enexor, Inc." to "ENEX Energy Corp." As presented during the annual stockholders' meeting held on 25 April 2022, stockholders representing at least 2/3 of the outstanding capital stock of the Company voted to approve the above-mentioned amendments.
