Item 8.01.  Other Events.
On October 27, 2021, BASF and Entegris, Inc. ("Entegris") announced that they
have signed an agreement on the sale of BASF's Precision Microchemicals business
to Entegris for $90 million (the "Transaction"). The Transaction is expected to
be completed by the end of 2021. A copy of the joint press release announcing
the Transaction is attached hereto as Exhibit 99.1 and is incorporated herein by
reference.
