ITEM 5.03 AMENDMENTS TO ARTICLES OF INCORPORATION OR BYLAWS; CHANGE FISCAL YEAR
On August 23, 2021, the Board of Directors of Envista Holdings Corporation (the
"Company") amended and restated the Company's Amended and Restated Bylaws (as so
amended and restated, the "Bylaws") to (i) align certain provisions of the
Bylaws with the Company's Amended and Restated Certificate of Incorporation
pertaining to the phasing out of the classification of the Company's Board of
Directors and (ii) remove certain provisions no longer applicable to the
Company.
The foregoing summary is qualified in its entirety by reference to the full text
of the Bylaws, a copy of which is included as Exhibit 3.2 to this report and
incorporated herein by reference.
