Goldson Global Limited signed a share purchase agreement to acquire Ephraim Resources Limited (ASX:EPA) in a reverse merger transaction on March 5, 2015. Pursuant to the transaction, Goldson Global's shareholders will acquire approximately 59% of Ephraim’s shares. The transaction is subject to a number of conditions including approval by all shareholders of Goldson, completion of the due diligence, completion of the acquisition of Allied Empire System International Pte Ltd and Baojianli Construction and Installation Pte Ltd by Goldson, approval of relevant regulatory agencies and approval of shareholders of Ephraim of the consolidation of Ephraim shares on an approximate 50:1 basis and issue of consideration shares. Ephraim will continue its existing business operation upon completion of the acquisition. As of June 10, 2015, Goldson has completed the due diligence work. As per the revised share purchase agreement entered on March 1, 2016, Alumi Envirotech Pte Ltd, subsidiary of Goldson Global Limited, agreed to acquire Ephraim Resources Limited in a reverse merger transaction. The shareholder approval for the transaction is expected to be received in the second quarter General Meeting of 2016. Alumi Envirotech Pte Ltd cancelled acquisition of Ephraim Resources Limited (ASX:EPA) in a reverse merger transaction on July 12, 2017.
