Item 8.01 Other Events.
On May 19, 2022, the Company announced the pricing of the previously announced
public offering (the "Offering") of 4,500,000 shares of its Class A common stock
by certain selling stockholders (the "Selling Stockholders"), including
stockholders affiliated with General Atlantic, L.P., at a price to the public of
$21.50 per share. In addition, the Selling Stockholders granted the underwriters
a 30-day option to purchase up to 675,000 additional shares of the Company's
Class A common stock. A copy of the press release is attached hereto as Exhibit
99.1 and incorporated by reference herein.
On May 20, 2022, the underwriters exercised their option to purchase a total of
675,000 additional shares of Class A common stock from the Selling Stockholders
at a price to the public of $21.50 per share, less underwriting discounts and
commissions.
On May 24, 2022, the Company and Selling Stockholders closed the Offering, with
the Selling Stockholders selling 5,175,000 shares of Class A common stock.
