Even Construtora e Incorporadora S A : announces Notice to the Market

NOTICE TO THE MARKET

EVEN CONSTRUTORA E INCORPORADORA S.A. ('Company'), informs its Shareholders and the market in general the acquisition of all quotas of a specific purpose entity called SPE Diogo Moreira S.A., enrolled in the register of corporate taxpayer's (CNPJ/ME) under number 12.360.052/0001-58, a company from Malzoni's Group, to contribute for the development of the real estate project located at Diogo Moreira Street, between avenues Faria Lima and Eusébio Matoso, in the Pinheiros neighborhood. The project shall be executed in a phasebased manner with a total expected Potential Sale Value ('PSV') of around R$2 billion.

The development of this project has the participation of investors and the Company will hold a stake of approximately 1/3 of the PSV.
