Expert.ai: the Board of Directors resolves the co- optation of a new director and convenes the Shareholders' Meeting

Modena, November 23, 2021

The Board of Directors of expert.ai S.p.A. (the "Company") met today and took note of the resignation of the independent director Patrizia Arioli who resigned today for health reasons, her resignation were subject to the appointment of a new director with the same requirements. The Board of Directors then proceeded to appoint by co-optation, pursuant to article 2386 of the Italian Civil Code, Paola Alessandra Paris, who meets the independence requirements of the Company's Articles of Association and applicable laws, having also received a positive evaluation in this regard from the Company's Euronext Growth Advisor, and who is enrolled in the register of auditors. As of today, Paola Alessandra Paris does not hold, either directly or indirectly, any investments in the Company or in the companies of the group headed by the Company.

Pursuant to article 2386 of the Italian Civil Code, the new Director will remain in office until the next Shareholders' Meeting.

During the same meeting, the Board of Directors also resolved to appoint Paola Alessandra Paris as a member of the Management Control Committee, also choosing her as the Chairman of this Committee. The Management Control Committee is therefore composed as follows:

• Paola Alessandra Paris, as Chairman;
• Alberto Sangiovanni-Vincentelli;
• Stefano Pedrini.

Within the context of the admission to listing on Euronext Milan, the Board of Directors also resolved to exercise the power granted to it by the regulation of the 2020-2023 stock option plan to open an extraordinary period, lasting from November 29, 2021 to December 17, 2021, for the exercise of stock options granted for the year 2021.

The Board of Directors then resolved to give a mandate to the Chairman to convene the Company's Ordinary Shareholders' Meeting on December 13,

2021 and December 14, 2021, respectively on first and second call, for the purpose of resolving on the following agenda:

1. Appointment of director Paola Alessandra Paris pursuant to article 2386 of the Italian Civil Code.
2. Granting of the nine-year mandate for the legal audit pursuant to the Italian Legislative Decree no. 39/2010, with effect from and subject to the start of trading of the ordinary shares of expert.ai S.p.A. on Euronext Milan, following the approval of the mutual termination of the existing mandate; related and consequent resolutions.

Notice of the meeting will be published in the manner and within the timeframe set forth in the Company's Articles of Association.
