On September 10, 2021, Extreme Networks, Inc. filed a preliminary proxy statement soliciting proxies and urged the shareholders to vote against a shareholder proposal, requesting the board take each step necessary so that each shareholder voting requirement in the Company’s charter and bylaws that calls for a greater than simple majority vote be eliminated, and replaced by a requirement for a majority of the votes cast for and against applicable proposals, or a simple majority in compliance with applicable laws, submitted by John Chevedden at the Company’s annual shareholders meeting scheduled to be held on November 4, 2021.
