Notice Concerning Implementation of New Management System
FANUC CORPORATION (the "Company") hereby announces that it has revised its management system based on the resolutions of the Ordinary General Meeting of Shareholders and the meeting of the Board of Directors held on June 29, 2016 as described below.
Revision of management system
In 2014, the Company introduced the Executive Officer System and reduced the number of directors to enhance its business execution and make swift and adequate management decisions. Since then, the Company has had a system that distinguishes the role of the director from that of the executive officer; directors execute and supervise the execution of the business, while executive officers devote to the execution of the business.
The Company decided to further clarify the roles and responsibilities regarding the business execution, by appointing all members of the Board, including the Chairman and President, to the positions of executive officer. Due to the revision of the Executive Officer System, the titles of Chairman and CEO, President and COO, Senior Executive Vice President and CTO, Senior Executive Vice President and CFO, Executive Vice President and Senior Vice President will be the titles under the Executive Officer System.
