Ordinary Meeting

• Approved - Partial amendment of the Incentive Plan pursuant to Article 114-bis of Legislative Decree 58/98

Extraordinary Meeting

• Approved - Planned merger by incorporation of Fiera Milano Media S.p.A. into Fiera Milano S.p.A. and simultaneous amendment of article 4 of the latter's articles of association
• Approved - Amendment of Article 17.2(i) of the articles of association

Milan, 5 October 2021. The Ordinary and Extraordinary Shareholders' Meeting of Fiera Milano S.p.A. ("Fiera Milano" or the "Company") met today in single call under the chairmanship of Carlo Bonomi. As required by current regulations on the Covid 19 health emergency, attendance at the Shareholders' Meeting took place exclusively through the Designated Representative, Computershare S.p.A.

The agenda was as follows:

Ordinary Meeting

1. Approval of a partial amendment of the Incentive Plan pursuant to Article 114-bis of Legislative Decree 58/98.

Extraordinary Meeting

1. Approval of the planned merger by incorporation of Fiera Milano Media S.p.A. into Fiera Milano S.p.A. and simultaneous amendment of article 4 of the latter's articles of association
   (purpose);
2. Amendment of Article 17.2(i) of the articles of association (matters reserved for the Board of Directors).

Pursuant to Article 114-bis of the Consolidated Finance Act ("TUF"), the Ordinary Shareholders Meeting' approved the amendment of the medium- and long-term incentive plan, structured in the form of performance shares - called "Performance Shares Plan 2021-2022" - as regards the duration of the lock-up period.

During the extraordinary session, the Shareholders' Meeting also approved the plan for the merger by incorporation of the company Fiera Milano Media S.p.A. (wholly owned), with the simultaneous amendment of article 4 of the Fiera Milano S.p.A.'s articles of association.

The main aim of the merger is to improve and streamline the management of staff and assets involved in the promotion of digital services and digital product communications, training and e- learning, generating significant organisational synergies.

In relation to the merger operation, the Shareholders' Meeting also approved the amendment of article 4 of Fiera Milano's articles of association.

As the merger involves a wholly owned company, the transaction will not affect the shareholding structure of Fiera Milano, which therefore is unchanged.

Finally, the Extraordinary Shareholders' Meeting approved the amendment of article 17.2(i) of the Company's articles of association.

None of the aforementioned resolutions triggered the shareholders' right of withdrawal.
