Notice regarding partial amendment to Articles of Incorporation

November 20, 2017-FinTech Global Incorporated (hereafter, "FGI" and "the Company") hereby provides notice that the Board of Directors resolved at a meeting today to put forward to shareholders at the 23rd General Meeting of Shareholders scheduled for December 19, 2017, an agenda item regarding partial amendment to the Articles of Incorporation. Details are provided below.

• 1. Reasons for partial amendment

  (1) Change in "Purpose"

  Article 2 (Purpose) in the existing Articles of Incorporation shall be amended to reflect the expanding business domains of the Company and its subsidiaries.

  (2) Change in "Location of the Head Office"

  On January 4, 2018, the Company plans to relocate to new premises in Kami-Osaki, Shinagawa-ku, Tokyo, to enhance business efficiency and raise productivity by facilitating an increase in personnel to support an expanding business presence, consolidating the office functions of Group companies and improving the business environment. Due to this relocation, Article 3 (Location of the Head Office) in the existing Articles of Incorporation shall be amended, from Minato-ku, Tokyo to Shinagawa-ku, Tokyo. Also, the effective date of this change will be January 4, 2018, which is the date on which the relocation is to take place, and such content shall be set forth as supplementary provisions.

  (3) Numbering shall be adjusted.
