The Board of Directors of First Capital Holdings PLC ("the Company") resolved at its Board Meeting held today that it be recommended to the Shareholders that the number of shares of the Company in issue be increased by way of a sub-division, whereby each One (1) existing ordinary share will be subdivided to Four
ordinary shares. On this basis, one hundred and one million, two hundred fifty thousand (101,250,000) shares in issue at present, will be increased to four hundred and five million, (405,000,000) ordinary shares.

Article B.1 (6) of the Articles of Association of the Company permits the sub-division of shares. An extract of the same is attached. The sub-division would not increase the stated capital of the Company.
The increase of shares by way of a sub-division, as stated, is subject to Shareholder approval at a General Meeting. As per the Sub-division, Consolidation, Reduction of Stated Capital procedure set out by the Colombo Stock Exchange, the sub-division would take place based on the number of shares as at the third market day from and excluding the said General Meeting date.

The Company may subdivide or split all the shares or all the shares in a particular class of shares in the Company into a greater number of shares, in proportion to those shares, leaving unaffected the relative voting and distribution rights of the holders of those shares, by following an applicable procedure to effect such subdivision as the Board may consider appropriate.
