Item 4.01. Changes in Registrant's Certifying Accountant. On February 24, 2021, the Registrant's Audit Committee engaged KPMG LLP as the Registrant's independent accountants to audit its consolidated financial statements for 2021 and approved the terms of its engagement. KPMG LLP will replace Dixon Hughes Goodman LLP which audited the Registrant's financial statements for 2020 and was dismissed as the Registrant's independent accountants on February 24, 2021. It had served as the Registrant's independent accountants since 2004. The change in accountants was approved by the Audit Committee following a competitive proposal process. In connection with Dixon Hughes Goodman LLP's audits during the two years ended December 31, 2020 and 2019, and through the date of the Committee's action dismissing Dixon Hughes Goodman LLP, there have been no (a) disagreements with Dixon Hughes Goodman LLP on any matter of accounting principles or practices, financial statement disclosure, or auditing scope or procedure, which, if not resolved to Dixon Hughes Goodman LLP's satisfaction, would have caused it to make reference to the subject matter of the disagreement in connection with its reports on the Registrant's financial statements, or (b) any "reportable events" requiring disclosure pursuant to Item 304(a)(1)(v) of Regulation S-K. Dixon Hughes Goodman LLP's audit reports on the Registrant's consolidated financial statements as of and for the years ended December 31, 2020 and 2019 did not contain an adverse opinion or a disclaimer of opinion, nor were they qualified or modified as to uncertainty, audit scope or accounting principles, except that the report for the year ended December 31, 2020 contained a paragraph explaining that the Registrant changed its method of accounting for credit losses effective January 1, 2020 due to the adoption of Accounting Standards Codification Topic 326 Financial Instruments - Credit Losses. During 2020 and 2019, and through the date of the Committee's action engaging KPMG LLP, neither the Registrant, nor anyone on its behalf, consulted with KPMG LLP regarding (a) either the application of accounting principles to a specified transaction, either completed or proposed, or the type of audit opinion that might be rendered on the Registrant's financial statements, or (b) any matter that was either the subject of a "disagreement," as described in Item 304(a)(1)(iv) of Regulation S-K, or any "reportable events," as defined in Item 304(a)(1)(v) of Regulation S-K.
