On May 6, 2020, the Board of Directors (the "Board") of Franklin Electric Co., Inc. (the "Company") approved the amended and restated Franklin Electric Co., Inc. Nonemployee Directors' Deferred Compensation Plan, which increase shares available for issuance under the plan.
