Item 5.03 Amendments to Articles of Incorporation or Bylaws; Change in Fiscal Year.

On and effective November 19, 2021, the Board of Directors of Gevo, Inc. (the "Company") amended and restated the Company's Amended and Restated Bylaws (as amended and restated, the "Second Amended and Restated Bylaws"). Section 6 of Article I of the Second Amended and Restated Bylaws was amended to allow for stockholder meetings to be adjourned and noticed as prescribed under the Delaware General Corporation Law.
