Article 33 (1)In light of integrating overall resources and scaling up the business to advance the performance and competitiveness of the Company, the interim shareholder's meeting of the Company resolved on January 27th, 2022 to conduct the merger with Glamor Vision Ltd. (the "Holding Company")'s subsidiary Glamor International Ltd. (the "Merger Sub") and entered into the Merger Agreement (including the Plan of Merger attached thereto) where the Company will merge with Merger Sub with the Company being the surviving company resulting from the Merger and the Merger Sub will cease to exist.The Merger consideration is NT$ 280 per ordinary share and the Company will become a wholly-owned subsidiary of the Holding Company on the effective date of the Merger. (2)The merger consideration for this merger is a cash consideration of NT$280 per share.
