Bylaws

On September 20, 2022, the Board of Directors (the "Board") of Glatfelter Corporation (the "Company") adopted Amended and Restated Bylaws. The Amended and Restated Bylaws decreased the size of the Board from nine directors to eight directors. The foregoing description is qualified in its entirety by reference to the complete text of the Amended and Restated Bylaws, a copy of which is attached to this Current Report on Form 8-K as Exhibit 3.1 and incorporated by reference in this Item 5.03 in its entirety.

Item 7.01. Regulation FD Disclosure.

On September 21, 2022, the Company issued a press release announcing that the Company's Board has suspended the Company's quarterly cash dividend as part of its focused efforts to optimize the operational and financial results of the business.
