Item 5.02. Departure of Directors or Certain Officers; Election of Directors;
Appointment of Certain Officers; Compensatory Arrangements of Certain Officers
Jeremy Herauf, Chief Accounting Officer of Groupon, Inc. (the "Company"),
notified the Company on September 2, 2021 of his decision to resign as Chief
Accounting Officer in order to pursue a new opportunity. Mr. Herauf's
resignation will be effective September 17, 2021, and is unrelated to any
disagreement with the Company. Melissa Thomas, Chief Financial Officer of the
Company, will serve as the principal accounting officer until a successor is
appointed.
