RESOLUTION NO. 292/XI/2022

OF THE SUPERVISORY BOARD OF GRUPA LOTOS S.A.

of May 19th 2022

concerning: opinion on the 2021 report of the Management Board of Grupa LOTOS S.A. on entertainment expenses, legal costs, marketing costs, public relations and social communication expenses, and management consultancy fees

Acting pursuant to Art. 13.2.12 of the Articles of Association, having read Grupa LOTOS S.A.'s 2021 report on entertainment expenses, legal costs, marketing costs, public relations and social communication expenses, and management consultancy fees, approved by Management Board Resolution No. 118/XI/2022 of March 16th 2022, in accordance with Art. 388.1(1) of the Commercial Companies Code, the Supervisory Board of Grupa LOTOS S.A. resolves as follows:

Section 1

The Supervisory Board issues a positive opinion on the 2021 report of the Management Board of Grupa LOTOS S.A. on entertainment expenses, legal costs, marketing costs, public relations and social communication expenses, and management consultancy fees, presented in Management Board Resolution No. 118/XI/2022 of March 16th 2022.

Section 2

This Resolution shall become effective upon its adoption.
