OMA holds Ordinary Shareholders' Meeting
Mexico City, Mexico, June 14, 2021-Mexican airport operator Grupo Aeroportuario del Centro Norte, S.A.B. de C.V., known as OMA (NASDAQ: OMAB; BMV: OMA), informs that, on June 11, 2021, OMA held an Ordinary Shareholders' Meeting. The Meeting approved to carry out the issuance of 49,766,000 unsubscribed and unpaid Series B Shares to be kept in the treasury of the Company, exclusively to cover the possible conversion of the Series BB Shares owned by Servicios de Tecnología Aeroportuaria, S.A. de C.V. ("SETA") into Series B shares, in case of default under the Financing documents (as defined hereafter), in the understanding that such issuance will not cause dilution to the shareholders of the Company. As previously informed by OMA, the issuance of Series B Shares to be kept in the treasury of Company is being carried out in relation to the tender offer launched by Aerodrome Infrastructure S.à r.l., an affiliate of SETA, on May 24, 2021, to purchase Series B shares of OMA, and the intention of the offeror to finance said offer by entering into a financing (the "Financing") that will use as collateral, among other things, the Series BB Shares property of SETA.
