CHANGE IN THE COMPOSITION OF THE SHARE CAPITAL OF GUALA CLOSURES

Alessandria, 31 May 2021 - Guala Closures S.p.A. ("Guala Closures" or the "Company"), whose ordinary shares are listed on the MTA/Segment STAR, announces that on the date hereof the shareholder GCL Holdings S.à r.l. filed with the Company a request to convert all of its 4,322,438 special multiple-voting class "B" shares (the "B Shares") (i.e. all of the B Shares currently issued by the Company) in no. 4,322,438 ordinary shares (conversion ratio 1:1), in accordance with the provisions set forth under Article 5.4(c) of the Guala Closures' by-laws. In the context of such request, GCL Holdings S.à r.l. asked the Company "in order to [allow GCL Holdings S.à r.l.] to adhere to the Offering, […] to carry out as soon as possible any communication to the relevant intermediaries and any other necessary act". Following the request of GCL Holdings S.à r.l., on the date hereof the board of directors of Guala Closures certified the occurrence of the conversion event envisaged under the aforementioned Article 5.4(c) of the by-laws.

In light of the above, pursuant to Article 85-bis of the regulation approved by CONSOB with resolution no. 11971 of 14 May 1999 (the "Issuers' Regulation") and to Article 2.6.2 of the Regulation of Borsa Italiana S.p.A., Guala Closures announces the new composition of its equity share capital, as resulting following the conversion of the no. 4,322,438 B Shares in no. 4,322,438 ordinary shares described above.
