RESIGNATION OF SUPERVISOR

Guangzhou Rural Commercial Bank Co., Ltd.(the "Bank") hereby announces that Mr. Zhang Dalin ("Mr. Zhang") has tendered his resignation as a shareholder supervisor and a member of the Audit and Supervision Committee of the Board of Supervisors as he needs to devote more efforts to the operation and management of his other companies. The Board of Supervisors has recently received the written resignation from Mr. Zhang and his resignation shall be effective immediately.

Mr. Zhang has confirmed that he has no disagreement with the Board of Supervisors, and there are no matters relating to his resignation that need to be brought to the attention of the shareholders and the creditors of the Bank.

The Bank would like to take this opportunity to express its sincere gratitude to Mr. Zhang for his valuable contribution to the Bank during his term of office as a shareholder supervisor and offer its best wishes to him.
