Prabhat Kumar Haldar, Keshab Kumar Halder, Poulomi Halder, Rekha Halder and Koustuv Halder made a tender offer to acquire additional 49.96% in Halder Venture Limited (BSE:539854) for INR 16.6 million on October 24, 2018. The offer is for 1.58 million shares and the offer per share is INR 10.5 per share in cash. The payment of consideration would be completed on February 11, 2019. As on the date of the offer, Prabhat Kumar Haldar, Keshab Kumar Halder, Poulomi Halder, Rekha Halder and Koustuv Halder respectively hold 9.5%, 4.76%, 4.77%, 4.78% and 0.32% stake in Halder Venture Limited. As of October 30, 2018, transaction will be financed through own resources. No borrowings from any bank or financial institutions is envisaged. This offer is not conditional upon any minimum level of acceptance. The committee of Independent Directors of Halder Venture Limited is expected to give its recommendation by January 11, 2019. As on January 11, 2019, committee of Independent Directors of Halder Venture Limited published their recommendation. The offer period will commence from December 14, 2018 to December 31, 2018. As of January 4, 2019, tender offer period will start from January 15, 2019 and end on January 28, 2019. Anil Bhargava of Hem Securities Limited acted as manager to the offer and Rajagopal of Maheshwari Datamatics Private Limited acted as registrar to the tender offer for Prabhat Kumar Haldar, Keshab Kumar Halder, Poulomi Halder, Rekha Halder and Koustuv Halder.
