Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment
of Certain
Officers; Compensatory Arrangements of Certain Officers.
On December 9, 2021, Harley-Davidson, Inc. (the "Company") announced changes
relating to its Chief Administrative Officer (CAO) position. Effective January
1, 2022, Julie Anding, Chief Administrative Officer, will cease to serve as CAO
with the intention that she will move to the role of Vice President, Inclusive
Stakeholder Management (ISM) and lead this critical function with a focus on
championing the Company's Diversity, Equity, and Inclusion initiatives, in
addition to playing a more active role with the Harley-Davidson Foundation. Ms.
Anding would report to Andy Benka, Chief of Staff. In this role, she would
receive compensation and benefits commensurate with the position.
The CAO role would be eliminated, and a Chief Human Resources Officer (CHRO)
role would be created. The intention is that, effective January 1, 2022, Tori
Termaat would be promoted to CHRO and would have responsibility for Human
Resources.
