Hebei Huijin Electromechanical Co., Ltd. (SZSE:300368) entered into an agreement to acquire a 36.4% stake in Chongqing Yunxingwangsheng Technology Co., Ltd. from Xiao Yang and Zou Aijun on July 16, 2021. Hebei Huijin will acquire 29.12% stake in Chongqing Yunxingwangsheng from Xiao Yang by way of share issuance and will acquire 7.28% stake in Chongqing Yunxingwangsheng from Zou Aijun by way of cash payment. The issue price for this asset acquisition is CNY 10.21 per share. At the same time, Hebei Huijin will issue shares to holding shareholder, Handan Construction Investment Group Co., Ltd. to raise supporting funds. The supporting funds will be used to pay for this transaction’s cash consideration. The transaction is subject to approval from shareholders and Board of Hebei Huijin along with Shenzhen Stock Exchange and CSRC approval. The Board of Directors of Hebei Huijin approved the transaction on July 16, 2021.
