RIZAP Co., Ltd. agreed to acquire B&D Co., Ltd. from HIMARAYA Co.,Ltd. (TSE:7514) for ¥1 on December 20, 2017. Under the terms, RIZAP will acquire 0.38 million shares of B&D. For the year ending August, 2017, B&D Co. had sales of ¥72.6 billion, total assets of ¥30.5 billion, operating loss of ¥2.9 billion, net asset of ¥1.6 billion and net loss of ¥5.5 billion. The Board of Directors of RIZAP GROUP, Inc., parent of RIZAP Co., Ltd. passed a resolution on the transaction on December 20, 2017. The transaction is expected to complete on December 28, 2017.
