Hortifrut S.A. (SNSE:HF) signed an agreement to acquire Talsa from GRUPO ROCIO on October 3, 2017. The consideration includes an amount of $160 million and 17.13% of shares in the merged company, along with performance-related awards and and the right to receive an earn-out subject to results in 2021. The deal will result in Hortifrut incorporating 1,450 hectares of blueberry fields and two pack houses into its Peruvian operations. The deal is subject to approval by Hortifrut’s extraordinary shareholders’ meeting on December 22, 2017.
