The board of directors of Huarong International Financial Holdings Limited announced that on 8 November 2017, the company, as the borrower, entered into a facility agreement with a bank as the lender in relation to a term loan facility in an aggregate principal amount of USD 100,000,000. The purpose of the Facility is for general working capital requirements of the Company. The Facility is repayable in one lump sum on the final repayment date falling twelve (12) months from the drawdown date. Under the terms of the Facility Agreement, if the Company ceases to be directly or indirectly at least 51% beneficially owned and controlled by China Huarong Asset Management Co. Ltd. The Company shall notify the Lender within five business days and the Lender may, with at least five business days' notice, cancel the Facility and declare all outstanding loans, together with accrued interest and all other amounts accrued under the Facility Agreement, to be immediately due and payable.
