ITEM 8.01 OTHER EVENTS OnNovember 4, 2021 ,Hudson Pacific Properties, Inc. (the "Company") and its operating partnership subsidiary,Hudson Pacific Properties, L.P. (the "Operating Partnership"), entered into an underwriting agreement datedNovember 4, 2021 (the "Underwriting Agreement") withBofA Securities, Inc. ,Morgan Stanley & Co. LLC ,Wells Fargo Securities, LLC andRBC Capital Markets, LLC , as representatives of the several underwriters, relating to the sale of 16,000,000 shares of the Company's 4.750% Series C Cumulative Redeemable Preferred Stock, par value$0.01 per share (the "Series C Preferred Stock"), in connection with an underwritten public offering (the "Offering"), pursuant to the Company's effective registration statement on Form S-3 (File No. 333-255579). The underwriters have also been granted an option to purchase an additional 2,400,000 shares of Series C Preferred Stock, which is exercisable for 30 days from the date of the Underwriting Agreement solely to cover over-allotments, if any. The Underwriting Agreement contains customary representations and warranties of the parties and indemnification and contribution provisions under which the Company and theOperating Partnership have agreed to indemnify the underwriters against certain liabilities, including liabilities under the Securities Act of 1933, as amended. The Offering is expected to close onNovember 16, 2021 , subject to customary closing conditions. The Underwriting Agreement is attached hereto as Exhibit 1.1 and is incorporated herein by reference.
