Power Assets Holdings Limited (SEHK:6) and Cheung Kong Infrastructure Holdings Ltd. (SEHK:1038) entered in an agreement to acquire 65% interest in Lloydminster assets from Husky Energy Inc. (TSX:HSE) for CAD 1.2 billion on April 25, 2016. Husky will retain 35% interest in the assets and will remain operator. The assets involved in this transaction include approximately 1,900 kilometres of pipeline in the Lloydminster region, 4.1 million barrels of oil storage capacity at Hardisty and Lloydminster, and other ancillary assets. Power Assets has agreed to pay CAD 865.38 million for a 48.75% stake and Cheung Kong Infrastructure Holdings has pledged to buy a 16.25% stake for CAD 288.46 million. Lloydminster assets had net income of CAD 100.28 million.

Power Assets Holdings Limited will appoint two Directors, Cheung Kong Infrastructure Holdings Ltd. will appoint two Directors and Husky Energy Inc. will appoint four Directors. The transaction is subject to regulatory approval and financing package. The Board of Directors of Husky appointed a committee of independent Directors of the Board to review and assess the transaction. The transaction is expected to close on July 15, 2016.
