On September 27, 2022, Hyliion Holdings Corp., a Delaware corporation (the "Company") issued a press release announcing the closing of a previously announced transaction, pursuant to which the Company agreed to purchase certain assets and assume certain liabilities of General Electric Company, a New York corporation, acting solely by and through its GE Additive business unit ("Seller") relating to Seller's Karno™ additively-enabled heat engine business. The press release is attached as Exhibit 99.1.
