Item 2.02.  Results of Operations and Financial Condition.
On November 19, 2020, i3 Verticals, Inc. (the "Company") filed a Current Report
on Form 8-K with a press release announcing its earnings for the three months
and full fiscal year ended September 30, 2020. The Company is filing an
amendment to that Form 8-K solely to correct a typographical error that appeared
in the last bullet under the headline "Highlights for the fiscal fourth quarter
and full fiscal year of 2020 vs. 2019," which incorrectly reported the aggregate
purchase price as $59.6 million instead of $19.6 million. There were no other
changes to the press release.
A copy of the corrected press release is attached to this Amendment No. 1 as
Exhibit 99.1.
As provided in General Instruction B.2 of Form 8-K, the information contained in
this Current Report on Form 8-K (including the exhibits hereto) shall not be
deemed to be "filed" for purposes of Section 18 of the Securities Exchange Act
of 1934, as amended, nor shall they be deemed to be incorporated by reference in
