Item 8.01 Other Matters.

Effective as of September 13, 2022, our board of directors authorized us to begin the process of restructuring our People's Republic of China ("PRC") operations, including (but not limited to) restructuring PRC funding and business lines, closing defunct PRC entities, and any other activity reasonably assessed by our Chief Executive Officer to be necessary to minimize our exposure to certain regulatory risks and operational difficulties in order for our business operations to function in an efficient manner. Changes in the competitive environment in the EV industry and global economic conditions, and the current geopolitical outlook, in addition to the impact of two plus years of the Covid pandemic, have necessitated this change.
