Results of General Meeting
The Board of Impax Environmental Markets plc (the 'Company') is pleased to announcethat at a general meeting of the Company held earlier today, the resolution in connection with the issue of further new Ordinary Shares and/or the sale of Ordinary Shares from treasury on a non pre-emptive basis, as set out in the circular sent to shareholders dated 6 February 2020, was approved by shareholders on a show of hands.
The proxy votes received were as follows:-

The issued share capital is 225,737,355 ordinary shares. As at the proxy deadline of the meeting, the Company held 3,968,109 of these shares in Treasury. Therefore, the total number of ordinary shares with voting rights in the Company was 221,769,246. Each Ordinary Share held entitles the holder to one vote and there are no restrictions on those voting rights. A 'Vote withheld' is not a vote in law and is not counted in the calculation of the % of shares voted 'For' or 'Against' a resolution.

A copy of the resolution passed has been submitted to the National Storage Mechanism and will shortly be available for inspection at:www.morningstar.co.uk/uk/NSM.
