GLOBAL FACILITY - STATUS OF INFIGEN ENERGY TRUST

On 22 February 2017 as part of Infigen's FY17 interim financial results material, Infigen disclosed that it had become aware that Infigen Energy Trust (IET) was a member of the "group" for the purposes of Infigen's Global Facility. At the time, this differed from the prior understanding and corresponding disclosures made by Infigen.

Following engagement with Infigen's Global Facility lenders, the Global Facility has now been amended to exclude IET from being a member of the "group" for the purposes of Infigen's Global Facility. The key consequences of this amendment are that:

  • IET is not subject to various restrictive covenants under the Global Facility that apply to certain other members of the Infigen Energy group; and

  • IET can make loans to Infigen Energy group entities that are Excluded Companies for the purposes of the Global Facility without subordinating those loans to the Global Facility debt.

This outcome provides the Infigen Energy group with greater flexibility in relation to its internal funding arrangements. It also means that IET's role in the Infigen Energy group's financing and corporate structure is now consistent with that previously disclosed in Infigen's FY16 full year financial results material for the period ended 30 June 2016.

This amendment does not change the business or strategic objectives of Infigen or the purpose of the capital raising announced to the market on 3 April 2017.
