The Management Board of INPRO S.A. (the "Company") informs that on 04/04/2019 it received a notice of the registration on 22/03/2019 by the Gdańsk-North District Court in Gdańsk, 3rd Land and Mortgage Register Division, in division IV of land and mortgage register No. GD1G/00287857/0, of the mortgage on the assets of INPRO S.A. constituting legal security for the repayment of credit granted to the Company by the consortium of banks: SGB - Bank S.A. with its registered office in Poznań ("SGB"), Kaszubski Bank Spółdzielczy with its registered office in Wejherowo ("KBS"), both banks further jointly called the "Bank," on the basis of working capital credit agreement No. OBRKK/7/2018/74478 of 10/08/2018 up the the amount of PLN 16,300,000.00.
The Company advised of the conclusion of the credit agreement in current report No. 24/2018 of 10/08/2018.
The mortgage entry was made in division IV of land and mortgage register No. GD1G/00287857/0 and concerns the following:
contractual real estate mortgage on the basis of the equal priority principle up to the amount of PLN 18,600,000.00 for the benefit of SGB Bank SA and up to the amount of PLN 5,850,000.00 for the benefit of Kaszubski Bank Spółdzielczy, securing the payment of the principal and secondary receivables following from credit agreement No. OBRKK/7/2018/74478 of 10/08/2018 encumbering INPRO S.A.'s title to real estate covered by land and mortgage register No. GD1G/00287857/0.
The value of the asset on which the above security was established is, in the Company's books of accounts, PLN 2,456,220.37 (land). The Company submits this report due to the mortgage value and for reporting clarity.
There are no connections between the Company, its managers and supervisors and the Bank and its managers.
Consent from the Company's Supervisory Board was necessary to establish the above-mentioned mortgage.
