INTERPUMP CLOSES THE WHITE DRIVE ACQUISITION

Sant'Ilario d'Enza (RE), 1 October 2021 - Interpump Group announces the closing of the acquisition of the White Drive Motors & Steering business units (with plants in the US, Germany and Poland) from Danfoss.

The deal was made possible by the approval of Interpump as a buyer by the regulatory bodies involved (among which the EU Commission and the US Department of Justice), and by the swift completion of the antitrust filings required by various authorities in the world.

The perimeter of the acquisition is unchanged with respect to the press release of 1 June 2021.

The seller has communicated that EBITDA, measured at the closing date and extended to 12 months, would amount to 53 million euro, compared to the 45 million euro originally projected. For this reason the price for the operation, paid in cash today, corresponds to a total enterprise value of 278 million euro, instead of 270 million euro as previously indicated.
