INTERREGIONAL DISTRIBUTION GRID COMPANY OF URALS, Ekaterinburg (Ural Federal District, Russia) - IDGC of Urals, OAO (MICEX: MRKU) reports resolutions of the Company's Board of Directors.
On Nov. 30, 2016 the Board of Directors has conducted an in-absentia Board meeting. In the course of the meeting directors have scrutinized and decided on the range of corporate issues.
Re-election of the Chair of the Audit Committee
Under the MICEX Listing Rules the Board of Directors should form the Audit Committee headed by an independent director. The Committee, elected on Jun.30, 2016 (Minutes of the Board of Directors meeting No.202 dated 01.07.2016), was headed by Y.V. Yascheritsyna, a Committee member who was not independent. To comply with the Listing Rules the Board of Directors has terminated the authorities of Y.V. Yascheritsyna and elected A.V. Shevchuk, an independent director, the Committee Chair. Finally, the updated membership of the Committee is as follows:
Aleksandr Viktorovich Shevchuk (Chair) - Executive Director at Professional Investor Association
Vladimir Vladimirovich Sofyin - Head of Technological Development and Innovations Department at Rosseti (PAO)
Yulia Vitalyevna Yascheritsyna - Head of Economic Planning and Budgeting Department at Rosseti (PAO)
Roman Avgustovich Dmitrik - General Director at RRSK (OOO)
Besides, the Board of Directors has adopted the Guarantee and Enhanced Quality of Internal Audit Program of the Company, Non-Core Asset Sale Bylaw of the Company, examined reports regarding execution of Board of Directors assignments as well as adopted resolutions with regard to other agenda items.
