NOTICE TO SHAREHOLDERS

INWIT announces that will be distributed to entitled Shareholders in compliance with the resolution of the

Shareholders' Meeting of April 6, 2022 - which, inter alia, approved the financial statements of the

Company for the year ended 31 December 2021 - an ordinary dividend of 0.3225 euros per ordinary share, which will be applied to the number of ordinary shares held at the record date pursuant to art. 83-terdecies of Legislative Decree n. 58/1998 (May 24, 2022). The ordinary dividend, represented by coupon no. 8, will be payable - net of own shares held by the Company and gross of any withholding tax - as of May 25, 2022

(with coupon date on May 23, 2022) through the authorized intermediaries.
