MATERIAL FACT

New CEO Election

Rio de Janeiro, September 20, 2021 - IRB-Brasil Resseguros S.A. (B3: IRBR3) ("IRB Brasil RE" or "Company"), pursuant to CVM Resolution No. 44/2021, informs its shareholders and the market in general that the selection process for the Company's new Chief Executive Officer has been completed.

The Company's Board of Directors, in an extraordinary meeting held on September 17, 2021, at 6:30 pm (after the closing of the trading session), elected Mr. Raphael Afonso Godinho de Carvalho to the position of Chief Executive Officer of IRB Brasil RE. The new Chief Executive Officer will take office on October 1st, 2021, with a term unified with the other members of the Company's Statutory Executive Officers until July 2nd, 2023.

The election of Mr. Raphael de Carvalho was preceded by a broad, deep and detailed selection process, with the assistance of a renowned specialized consulting company in the market. Mr. Raphael de Carvalho has large experience in the financial and insurance markets, with a career of over 30 years in large institutions. The executive has a degree in Mathematics and Computer Science from Universidade Federal do Rio de Janeiro (UFRJ), an MBA in Finance from the Pontifícia Universidade Católica do Rio de Janeiro (PUC-Rio) and specializations at the Kellog School of Management and Harvard, both in the US.

For the past six and a half years, Carvalho held the position of Chief Executive Officer of Metlife insurer for Brazil and Colombia. Prior to that, he was Visa's Country Manager for Latin America and the Caribbean and lead partner at Accenture's Insurance Practice consultancy. He also worked at Unibanco (where he was responsible for Fininvest, Unibanco Capitalização and Unicard), BTG, Nationwide Financial and Russell Reynolds.

The arrival of Mr. Raphael de Carvalho to hold the position of Chief Executive Officer is the most recent stage in the restructuring and transformation process the Company has been going through.

Mr. Wilson Toneto, who held the position of Interim Chief Executive Officer since March 2021, will remain as Chief Technical and Operations Officer. The Company thanks Mr. Wilson Toneto for
