Beijing Beida Jade Bird Universal Sci-Tech Company Limited (SEHK:8095) entered into an agreement to acquire 5.02% in Jade Bird Fire Protection Co., Ltd. from Cai Weimin and Zeng Desheng for CNY 570 million on May 13, 2024. As part of the deal, 38.095 million shares will be transferred to Beijing Beida. Currently, Beijing Beida holds 23.12% stake in Jade Bird Fire. Before this transfer, Cai Weimin holds 131 million shares of Jade Bird Fire, accounting for 17.28% of the company's total share capital and Zeng Desheng holds 7.6 million shares of Jade Bird Fire, accounting for 1.00% of Jade Bird Fire's total share capital. The share transfer under this agreement needs to be reviewed and approved by the shareholders' meeting of Beida Jade Bird Universal and confirmed by the Shenzhen Stock Exchange for compliance before the share transfer procedures can be handled at the Shenzhen Branch of China Securities Depository and Clearing Co., Ltd.
