On April 26, 2022, JPMorgan Chase & Co. closed public offerings of $500,000,000
aggregate principal amount of Floating Rate Notes due 2026 (the "Floating Rate
Notes"), $3,000,000,000 aggregate principal amount of Fixed-to-Floating Rate
Notes due 2026 (the "2026 Fixed-to-Floating Rate Notes"), $3,000,000,000
aggregate principal amount of Fixed-to-Floating Rate Notes due 2028 (the "2028
Fixed-to-Floating Rate Notes") and $2,000,000,000 aggregate principal amount of
Fixed-to-Floating Rate Notes due 2033 (together with the Floating Rate Notes,
the 2026 Fixed-to-Floating Rate Notes and the 2028 Fixed-to-Floating Rate Notes,
the "Notes").
The Notes were registered under the Securities Act of 1933, as amended, pursuant
to a registration statement on Form S-3 (File No. 333-263304), as amended. In
connection with these offerings, the legal opinion as to the legality of the
Notes is being filed as Exhibit 5.1 to this report.
