KBS Capital Advisors LLC, Asset Management Arm entered into a purchase and sale agreement to acquire Maitland Promenade I from TA Associates Realty Fund X, a fund managed by TA Associates Realty Group Limited Partnership, for $48.5 million on November 12, 2018. Keppel-KBS US REIT (SGX:CMOU) entered into an agreement to acquire Maitland Promenade I from TA Associates Realty Fund X, a fund managed by TA Associates Realty Group Limited Partnership, for $48.5 million on November 26, 2018. Keppel-KBS US REIT will make an initial deposit of $0.5 million with First American Title Insurance Company as escrow agent within two business days following the date of the agreement, will provide an additional deposit of $1 million with the escrow agent within two business days following the expiration of the non-binding period cum inspection period in relation to the property and prior to which it has elected to proceed with the acquisition, and will provide an additional deposit of $1 million if it delivers a notice to TA Associates Realty Fund to extend the date of closing of the agreement. If closing of the purchase and sale agreement occurs, the deposit shall be paid to TA Associates Realty Fund X and credited against the purchase consideration at closing. If the purchase and sale agreement is terminated in accordance with the terms of the purchase and sale agreement, the deposit shall be refunded to KBS Capital Advisors LLC, except in certain circumstances. Keppel-KBS US REIT intends to finance the acquisition with the proceeds from debt financing.
