Item 5.02. Departure of Directors or Principal Officers; Election of Directors;
Appointment of Principal Officers.
On August 30, 2021, Keurig Dr Pepper Inc. (the "Company") announced the
appointment of Tony Milikin to the position of Chief Supply Chain Officer, to be
effective September 7, 2021.
Fernando Cortes, the Company's current Chief Supply Chain Officer and a named
executive officer in the Company's 2021 Proxy Statement, will depart the Company
effective October 1, 2021. In accordance with the Company's Severance Pay Plan
for Executives as described in the Company's 2021 Proxy Statement, Mr. Cortes is
entitled to receive severance benefits consistent with an involuntary
termination. In recognition of his contributions to the Company and leadership
of supply chain integration since the 2018 merger that combined the business
operations of Keurig Green Mountain, Inc. and Dr Pepper Snapple Group, Inc., the
Remuneration and Nominating Committee of the Company's Board of Directors has
also approved a $3,500,000 Leadership Integration Bonus to be paid to Mr. Cortes
in connection with his separation.
