Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On December 4, 2020, Ernest Mario, Ph.D. notified Kindred Biosciences, Inc. ("KindredBio") that he intends to retire as a director of KindredBio on the date of KindredBio's 2021 Annual Stockholders' Meeting or on the date KindredBio appoints a replacement director, whichever event occurs first. Dr. Mario has provided distinguished service to KindredBio, and his decision to retire as a director is not the result of any disagreement with KindredBio on any matter relating to KindredBio's operations, policies or practices.
