Item 5.02 Departure of Directors or Certain Officers; Election of Directors;
Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.
On December 20, 2021, Kirkland's, Inc. (the "Company") entered into an Amendment
No. 1 to the Employment Agreement with Mike Holland, the Company's Chief
Technology Officer (the "Amendment"), pursuant to which the Company will pay Mr.
Holland a $125,000 relocation bonus (the "Relocation Bonus"). Mr. Holland will
repay the Relocation Bonus in its entirety if he voluntarily resigns or is
terminated with cause within twenty-four months of the date of the Amendment.
The preceding description of the Amendment is a summary of its material terms,
does not purport to be complete, and is qualified in its entirety by reference
to both the Amendment and the Employment Agreement, copies of which are being
filed as Exhibits 10.1 and 10.2 to this Current Report on Form 8-K and are
incorporated herein by reference.
