Kotobuki Spirits Co., Ltd. (TSE:2222) signed an agreement to acquire Francais Co., Ltd. from Ronde Corporation for ¥1 on December 15, 2015. Kotobuki Spirits Co., Ltd. will acquire 0.23 million shares of Francais Co., Ltd. Francais Co., Ltd. reported total assets of ¥2.79 billion, net assets of ¥34 million, net sales of ¥4.7 billion, operating loss of ¥48 million and net loss of ¥81 million for the period ending December 31, 2014. The transaction was resolved by the Boards of Kotobuki Spirits Co., Ltd. and Meiji Holdings Co., Ltd., ultimate parent company of Ronde Corporation. The transaction is expected to complete on January 22, 2016. The transaction is not expected to have a material impact on the consolidated financials of Meiji Holdings Co., Ltd. for the fiscal year ending March 2016. Under the terms of the deal, an advisory fee of ¥10 million was paid.
