On May 15, 2024, The Kroger Co announced that it has received a shareholder proposal from Shareholder Commons, on behalf of LGIM America, requesting the Company to exercise its discretion to establish Company wage policies that are consistent with fiduciary duties and reasonably designed to provide workers with the minimum earnings necessary to meet a family?s basic needs, because Company compensation practices that fail to provide a living wage are harmful to the economy and therefore to the returns of diversified shareholders. In addition, the Company recommended the shareholders to vote against the proposal at the 2024 annual meeting of shareholders scheduled to be held on June 27, 2024.
